Zyado S.L., ( further called as Zyado) provides the users with a platform that matches trades with open orders from other users of our services at their direction. Users are not able to predetermine a trade with a particular user or with a particular account.
Additionally, an order may be partially filled or may be filled by multiple matching orders.

1. SCOPE OF APPLICATION AND MODIFICATION OF THE TERM
(1) The following General Terms and Conditions ( further called as GTC ) define the business rules between the user and company of Zyado .
(2) Zyado . reserves the right to change, add or remove parts of the terms. Modifications of the GTC will be communicated via Email in writing to the user at least two months in advance, prior the announced date of the change. The amended GTC will be accepted by the user by default, in any case that that the user does not disagree to the amendment of the GTC.The disagreement needs to be addressed by the user within two months after the official announcement to the Zyado .

2. LEGAL REQUIREMENTS FOR REGISTRATION AT THE COMPANY OF Zyado .
(1) The user represents and warrant that it is an individual person or legal entity, of legal age and has full legal capacity, in every aspect in accordance to the local law.
(2) Have not been suspended from another Zyado. - Account previously.
(3) If a user is about to use the Service of Zyado . on behalf of a legal entity, he/she represents and warrant, that you are duly authorized /entitled by such entity, and such legal entity is validly existing under the applicable laws of the juristic of its organization.
(4) Zyado . reserves the right to limit of the number of accounts that users registers, hold or maintain.

3. TRADE OF DIGITAL ASSET
(1) In order to buy / sell digital asset it is mandatory to register at Zyado accordingly to the a.m. legal requirements. The registration at the Zyado is processed by using the applications for registration provided by the website of Zyado for registration, fulfillment of the mandatory personal data as such as the email-address , and the usage of the verification link of Zyado, provided via email to the user.
(2) The user is allowed to trade digital asset and use the full service of the trading platform of Zyado , only if the Login is verified either by entering User ID and Password, or using Two-Way-Authenticator.
(3) Before using the trading service of Zyado , as trading platform, the user has to register with his/her/its personal data.
(4) Before using the trading service of Zyado , the user has to deposit the trade-in value at a bank account which is hold by Zyado. We don´t accept money from a third party.
(5) With a successful trade, Zyado must transmit the digital asset to the verified buyers account ( less charges ).
(6) Zyado reserves the right to limit the trades in value and timing.
(7) In any case that the user is about to have an overall deposit above EUR 10.000 at the bank account of Zyado. the user has to verify his/her/its identity by an applicable process as such as a Identification-Card as copy confirmed by Government Authorities. Zyado reserves the right to ask for any Identification - Verification, irrespective of whether reaching the overall value or not. Zyado also reserves the right to disclose the user from the Trading Service, in any case that a requested Identification - Verification is not presented.

4. WITHDRAWAL
(1) The user is entitled to perform withdrawals from the Zyado -Account. As soon as the lump sum of the withdrawals is exceeding the limit of EUR 3.000,-, the user has to verify his/her/its identity by applicable process. Zyado reserves the right to ask for any Identification - Verification, irrespective of whether reaching the overall value or not. Zyado also reserves the right to disclose the user from the trading service, in any case that a requested Identification - Verification is not presented.

5. FEES
(1) The user agrees to pay the valid fees mentioned at the website of Zyado.
(2) Payment of fees. The user authorizes Zyado to charge or deduct the Zyado - Account for any applicable fee, owed in connection with trades performed via the service provided by Zyado.
(3) Collection-Related Costs . If the user fails to pay fees, or any other amounts debited by Zyado. Zyado refers the user account and overdues to a third party collector. Therefore Zyado will charge the user with an applicable collection-fee.

6. RISK DISCLOSURE
(1) No statements of the actual value nor future values of digital asset, are part of the service or the website of Zyado .
(2) Trading of goods, currencies or digital asset ( like Bitcoin, Litecoin, Ripple...) involves a significant risk. Due to high fluctuations, the user may increase but also lose value at any given moment. Especially, trading of digital asset is not under supervision by any Central Reserve Bank or any other official entity, nor is it to be accepted as official payment currency. You fully understand that you shall access and use the services at your own risk. The risk of loss in trading digital asset is substantial. You should therefore carefully consider the risk to lose values and have sufficient financial resources to cover such. The trading price, is no indication nor guarantee for an exchange rate into a currency ( EUR, USD, etc. ). Zyado does not provide investment consultant services, nor provide proposals for trading to the user.
(3) Users are fully responsible to pay tax and declare their profit to the local tax authorities.
(4) Digital asset may be stolen or get lost.
(5) Users are responsible for data security - especially Login data.
(6) All services are provided without warranty of any kind.
(7) Zyado does not guarantee that information provided via the website of Zyado are complete, correct or at the latest state of information. Any usage of the information is at the own risk of the user.

Internet transmission risks.
You fully understand and agree that there are risks associated with using a web-based trading service including, but not limited to, the failure of hardware, software, and Internet connections. You acknowledge that Zyado is not responsible for any communication failures, disruptions, errors, delays or any other issues you may experience when trading via the services, however caused.

ALL OF THE MENTIONED NOTES ABOVE APPLY TO ALL DIGITAL ASSET. THIS BRIEF RISK INFORMATION, OF COURSE, CANNOT DISCLOSE ALL RISKS AND OTHER ASPECTS ACCORDINGLY TO THE TRADING OF DIGITAL ASSET.

7. OBLIGATION FOR CO-OPERATION
(1) The user is obliged to have sufficient software and hardware equipment but also a internet connection, to ensure a technical and operation cooperation with Zyado .
(2) In order to ensure the co-operation, the user must duly inform Zyado about any changes of the registration data such as, Name, Address, Emailaddress, Cellphone number, Bank Account. In addition any changes requirements. Any changes of obligation to notify will be applied.
(3) The user has to follow the process instructions when using the website ( trading platform) and especially the user has to check and verify all data entered whether they are correct and complete.

8. DUTY TO CARE IN ORDER TO SECURE A DULY COOPERATION AND THE ASSIGNED OWNER OF THE ACCOUNT.
(1) In order to engage the Zyado- Service, the user needs to create an account at the website of Zyado with his/her/its own selected Username and Password. The user is always able to change and modify or order an new Login - Data at any given time. Within the change request of modification, the further Login-Data will lose their validity by default, immediately. For disabling the user account, the user has to do so via the access control of the website of Zyado .

(2) User who create a user account ensure to:
- provide truthful and accurate information
- all account details and login data needs to be under security of the user, by protecting the password and restricting access to the user account for all third parties
- use sufficient security software at any device
- Login - Data must not be saved digitally at your hardware
- create a strong password which is not used for any other online services
- do not provide Login - Data to third parties ( e.g. send by email )
- do not leave your hardware ( computer, mobile device ) alone, if the user is logged into the account
- if the user discovers ( or at least have the suspicion ) that unauthorized third parties get knowledge of the account data, the user is responsible to take immediate action ( changing the login data or disable the user account). If the user is not able to do so for any given reason, the user has to inform Zyado by mail promptly.

- take all responsibility for all activities under the user account and accept all risks of any access to the user account, to the maximum extent permitted by law.

9. SUSPENSION / TERMINATION OF THE USER - ACCOUNT
(1) Zyado , in sole discretion, reserves the right to disable the user account without liability to the user, with or without prior notice in case that:
- reasonable suspicion for insecure usage of the internet service, or Login data is given.
- fraudulent or unauthorized access to the account is given or, fraudulently usage of the login data is discovered.
(2) The suspicion of any unauthorized access to the account, or fraudulent usage is taken as given if five consecutive wrong login data where entered.

(3) In any case of suspicion of unlawful acting or money laundering, Zyado reserves the right to disable the account temporarily until legitimacy is proved, suspicion is dispelled or any accusations raised by court are officially dropped.
Zyado guarantees for the time beeing, the safety of all deposit capcities for originally paid value of the account. In addition to that, zyado reserves the right to transfer back the original deposited amount of btc or money.

10. TERMINATION AND DELETION OF USER ACCOUNT.
(1) The user always has the right ,for a full withdrawal of the account balance, to resign the membership by deleting the user account at any time. The deletion will cause a full termination of the whole registration and the account-ID will be blocked for future usage.
(2) An immediate termination of the account by Zyado without any notice based on important reasons is permitted at any time.

11. DATA PRIVACY
Zyado may collect, use and file personal user information related to the co-operation. All personal data will be used only for the reason of the co-operation - especially for the trading actions. Zyado will not share, distribute or publish any personal data to third parties, exception the request of law enforcement or other agencies.

12. LIABILITY AND CONTRIBUTORY NEGLIGENCE
(1) Zyado will be liable in any case of completion of duties for fail of the engine, website, employees or any other person who will be named to support Zyado by the completion of duties.
(2) Liability is excluded for any unauthorized or incorrect trades and the resulting impact for the user of the account, in case that item 11.1 is not applicable.
(3) Zyado shall not be liable for any loss, damage arising from event beyond Zyado control, including but not limited to war, extraordinary weather conditions, strike, traffic issues, earthquake, fire, insurrection, riot, labor dispute, accident, action of government, communication, software or hardware malfunction, power failure or any other act of God ( each called as Force Majeure)
(4) Online screen may differ from the print. In any case that either print screen or paper print are used, distributed or published, Zyado is not liable for any data. Liability of Zyado is also excluded in any case of manipulated data from the online screen are published or used.
(5) Liability of Zyado is excluded in any case that User - Hardware will have a failure malfunction (due to wrong configuration ), or due to missing availability, reliability and speed related to the internet connection.

13. LIMITATION OF LIABILITY IN TIME
(1) In case of inactivity of a user account of more than two year, Zyado reserves the right to disable the user account. Zyado has to inform the user by email within a two week time limit, prior blocking and disabling the account. Zyado will become the ownership of all asset of the account.

14. APPLICABLE LAW, ARBITRATION
(1) All legal relationships based on these General Terms and Conditions shall be subject to the Laws of Portugal and the exclusion of the UN Sales Convention.
